Subscription Terms of Service

These Subscription Terms of Service (the “Terms”) are a binding agreement between Mercova AI, LLC, a Delaware limited liability company, d/b/a Home Service One (“Company,” “HSO,” “we”), and the business subscribing to the Home Service One platform (“Client,” “you”). By checking the agreement box and subscribing, you accept these Terms on behalf of your business. The specific modules, number of locations, users, plan, and pricing you select at checkout (your “Order”) are part of and governed by these Terms.

1. The Service & modules

You are subscribing to the Home Service One platform. Modules are: Ops Hub (scheduling, dispatch, and job management), Sales Hub (quoting, CRM, and pipeline), and Marketing Hub (campaigns, lead generation, and reputation). Feature scope and per-location pricing for each selected module are set out in your Order. The modules you select apply to all of your locations; you may not select different modules for different locations, and adding a module mid-term applies it account-wide and adjusts your Subscription Fee accordingly.

2. Users

Each location includes 5 users. Additional users beyond that allotment are $39 per user, per month. You are responsible for your users’ access credentials and activity on the platform.

3. Term & renewal

Your subscription begins when it starts and continues for an initial term of twelve (12) months. It automatically renews for successive 12-month terms unless either party gives written notice of non-renewal at least 30 days before the end of the then-current term.

4. Fees & payment

Your Subscription Fee is priced per location based on the modules you select (per your Order), plus $39/user/month for additional users. Fees are exclusive of applicable sales, use, or similar taxes, which are your responsibility. You select one payment option:

Your selected payment option applies for the remainder of the then-current term. Invoices not paid within 15 days of the due date accrue a late fee of 1.5% per month (or the maximum rate permitted by law, if lower) on the unpaid balance, and HSO may suspend your access until past-due amounts are paid in full.

5. Initial setup fee

A one-time setup fee is due at signing, based on your number of locations at that time:

The setup fee is separate from and in addition to the Subscription Fee, and is non-refundable once setup work has begun.

6. Support

HSO provides ongoing account support for the duration of the term, including onboarding assistance, platform training, and standard technical support consistent with HSO’s then-current support policies.

7. Your responsibilities

You will provide accurate account and billing information, use the platform in compliance with applicable law and HSO’s then-current acceptable use policies, and remain responsible for your users’ credentials and activity.

8. Intellectual property

HSO retains all right, title, and interest in the Home Service One platform, including all software, technology, and improvements, whether or not developed in connection with your use. You retain all right, title, and interest in your own data submitted to the platform (“Client Data”), and grant HSO a license to use Client Data solely to provide, maintain, and improve the platform and services.

9. Confidentiality

Each party will protect the other’s confidential information with at least a reasonable degree of care and will not disclose it to third parties or use it outside these Terms, except as necessary to perform them or as required by law.

10. Data & privacy

HSO maintains commercially reasonable administrative, technical, and physical safeguards designed to protect Client Data, and processes Client Data consistent with its then-current Privacy Policy and applicable law.

11. Warranty disclaimer

Except as expressly stated in these Terms, the platform is provided “as is,” and HSO disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

Except for breaches of Section 9 (Confidentiality), either party’s indemnification obligations, or a party’s gross negligence or willful misconduct, neither party is liable for indirect, incidental, consequential, special, or punitive damages, and each party’s total liability arising out of or relating to these Terms will not exceed the fees you paid to HSO in the 12 months preceding the event giving rise to the claim.

13. Indemnification

Each party will indemnify, defend, and hold the other harmless from third-party claims arising from its breach of these Terms, its gross negligence or willful misconduct, or (as to you) your Client Data’s violation of a third party’s rights.

14. Termination

Either party may terminate for cause if the other materially breaches and fails to cure within 30 days of written notice. On termination or expiration, your access ends and you remain responsible for all fees accrued through the effective date of termination. Sections 8–13 and 15–19 survive termination.

15. Governing law & dispute resolution

These Terms are governed by the laws of the State of Illinois. Except for claims seeking injunctive relief to protect confidential information or intellectual property (which may be brought in court), the parties will resolve any dispute by final and binding, confidential arbitration before a single arbitrator, administered by the AAA under its commercial rules, seated in Chicago, Illinois.

16. Assignment

Neither party may assign these Terms without the other’s prior written consent, except that HSO may assign them in connection with a merger, acquisition, or sale of all or substantially all of its assets relating to the Home Service One platform.

17. Notices

Notices must be in writing and delivered by email (with confirmation of receipt) or a nationally recognized courier, to the addresses each party designates in its Order or account.

18. Entire agreement

These Terms, together with your Order and any schedules referencing them, are the entire agreement between the parties on this subject and supersede all prior discussions. Where you have signed a separate Master Services Agreement with HSO, that signed agreement governs and controls over any conflict with these Terms.

19. Severability; no waiver

If any provision is held unenforceable, the remaining provisions remain in full force. A party’s failure to enforce a provision is not a waiver of its right to do so later.

20. Changes to these Terms

We may update these Terms from time to time. Material changes take effect at the start of your next renewal term, or on notice to you; your continued use after the effective date constitutes acceptance.
